Terms of Use

In these Terms of Use, we will refer to ourselves as "ClassOnLive", "we" or “the service”. This document sets forth the terms of use of our ClassOnLive Platform. Our platform can be found at https://www.classonlive.com/ and also includes all subdomains, mobile applications, any other means, location, application, etc. that are owned by ClassOnLive, managed or operated in any other way.

Our Terms of Use ("Terms") also include our Privacy Policy, Cookie Policy, and any other documents referred to by those agreements, and, collectively, govern all access to the ClassOnLive platform.

When we refer to "You", “Client” or "User", we mean the entity that represents by accepting these Terms or, if that does not apply, you individually. If you accept on behalf of your employer, your company, organization, association, or other entity, you represent and warrant that (i) you have full legal authority to bind your employer or such entity to these Terms; (ii) you have read and understood these Terms; and (iii) you accept these Terms on behalf of the party you represent.

By using our Platform in any way, you expressly agree and consent to be governed by these Terms. If you do not agree to these Terms or do not wish to be bound by these Terms, you must not use or access the Platform in any way.

By accessing or using our service, you agree that you will be bound by these Terms. If there are discrepancies between the privacy policies and this document, this document will prevail.

We may review these Terms from time to time and the most recent version will always be on our website. If in a review, there are any changes, we will let you know, using any means of communication we choose, including electronic notification, which you agree will have the same validity as a written communication, as long as the law allows. By continuing to access or use the Service after the revisions become effective, you agree that you will be bound by the revised Terms.

Service description

ClassOnLive provides a cloud-based technology platform for online content creation designed to enable content creators: instructors, teachers, speakers, companies, and experts in various fields (hereinafter “Customer”) to create, manage, and offer free or for sale online content for students, attendees, or end users (hereinafter “student”) who wish to acquire it.

"content" is the course, class, conference, workshop, seminar, talk, debate, or any communication that is delivered live and in real-time through our video conferencing system, and also includes the text, software, scripts, graphics, photos, sounds, music, videos, broadcasts, recordings, audiovisual combinations, interactive elements, comments, contributions, questions, files, and other materials that you may contribute, view, or access through the service. The service includes all aspects of ClassOnLive, including but not limited to all products, software, and services offered through the ClassOnLive.com website. Hereinafter, “Users”, refers to both clients and students who use the platform to create content or to consume it.


ClassOnLive offers this content creation platform along with a range of additional services and tools (for example, payment gateways, author and affiliate payments) and the entire selection of tools and services offered through the Platform will be referred to in these Terms as "Service".

These Terms apply to all users of the Service, including any user who collaborates in the creation and delivery of content in the Service. ClassOnLive offers services and tools that allow clients to upload content to ClassOnLive. Some of these features allow multiple users (instructors and supervisors) to upload content to create a unique, combined, and jointly created work product (the "Combined Content"). Clients who create Uncombined Content or Combined Content (both referred to as “content”).

ClassOnLive is not a course provider, nor a training provider, nor is it an educational institution. Clients and users are not employees of ClassOnLive. ClassOnLive is not responsible for interactions between clients and students, except for providing the technological means through which clients can transmit and make their training available and, when applicable, process payments through the ClassOnLive payment gateway. ClassOnLive is not responsible for any dispute, claim, loss, injury, or damage of any kind that may arise from the Client / Student relationship.

ClassOnLive only provides Clients with limited information about the Students enrolled in their content, including the name, email address, and any additional information that the Client requests from the Student via a registration form. This information is only available to the Client after the purchase or enrollment of a student in a course, content, blog, or client form. ClassOnLive does not provide, sell, rent, publish, disclose, or transfer in any other way student data to Clients in exchange for monetary or other compensation. Students assume full responsibility for the disclosure and use of any other personal information that the Student chooses to reveal to any Client of ClassOnLive.

ClassOnLive does not deal with or operate Users located in certain countries or regions, in compliance with global standards and acceptable practices aimed at preventing money laundering, fraudulent acts, malicious attempts to attack the ClassOnLive platform and service, and the financing of illegal activities.

Account Registration

To be able to access the site features, create and/or enroll in content, you must register as a “user” (hereinafter referring to either as a client or student) by creating an account (“ClassOnLive account”). You may register directly through www.classonlive.com or by logging in to certain social media pages as described below. You can link your ClassOnLive account to a third-party account by either: 1) providing ClassOnLive with your third-party account access information through the site; or 2) allowing ClassOnLive to access your third-party account in accordance with the terms and conditions applicable to each third-party account. In this regard, you represent that you have the right to communicate the information of your third-party account to ClassOnLive and/or grant access to ClassOnLive without violating the applicable terms and conditions of use and without obligating ClassOnLive to pay any fee. We remind you that your relationship with third-party service providers is governed solely by your agreement with that provider. ClassOnLive will not review the content of the third-party pages with which you open the ClassOnLive account to verify their accuracy or legality and is not responsible for such content. We will create your ClassOnLive account based on the personal information you provide us or that we obtain through third-party pages. In this regard, you agree to provide accurate, up-to-date, and complete information during the registration process and to update such information to keep it accurate, up-to-date, and complete.

If you open an account in the name of a company, organization, or other entity, then (a) "you" includes “you and that entity” and (b) you represent and warrant that you are authorized to accept all permissions and licenses provided in these Terms and that bind the entity to these Terms and that you accept these Terms on behalf of the entity. The user may insert their image in their user profile and company logo. Consequently, the user grants non-exclusive and worldwide rights to ClassOnLive and accepts the right to use their image and company logo for publication without any right to remuneration whatsoever. ClassOnLive is authorized to exploit the image of Users in any way it deems appropriate, including deciding not to exploit it, without any entitlement to compensation.

You must be at least 18 years old to use ClassOnLive. IF YOU ARE UNDER 18 YEARS OLD, YOU MAY NOT USE OUR PLATFORM IN ANY WAY OR REGISTER FOR AN ACCOUNT.

When you register for an account, you agree to provide true, accurate, current, and complete information and keep your account updated.

Administrator account (hereinafter the "main owner"
A client who has the main administrator account may allow and authorize one or more persons (“additional instructors" and "supervisors") to establish an account associated with the main administrator/owner's school. The main owner is responsible for establishing the level of access and permissions for the instructors and supervisors. A main owner is responsible for the acts, omissions, and breaches arising from the use of instructor and supervisor accounts associated with their schools as if they were acts, omissions, or breaches of the main Owner themselves.

Disputes over Account ownership
In the unlikely event of a dispute over the ownership of an account, ClassOnLive has the right to request additional information from you to determine ownership and resolve the dispute. The information we may request to help resolve ownership disputes includes, among others, the following:
-a copy of your identification (ID) with a photo;
-Your business documents, including a copy of the deed and the CIF that demonstrates the ownership of your company.
-Billing information and details
-Copies of your income tax return
-Any other documentation we consider necessary to resolve the dispute.
In the event of a dispute, ClassOnLive reserves the right to determine the ownership of the account at its sole discretion and the ability to transfer the account to the rightful owner, unless prohibited by law.

Code of Conduct

When using the Services, you must behave in a civil and respectful manner at all times. Additionally, the following terms must be avoided in any account you may create:

*Acting in a misleading manner by, among other things, impersonating another person;
*Harassing or stalking any other person;
*Harming or exploiting minors;
*Distributing spam

Additionally, you must:
*Be of legal age to use the service;
*Have a real identity that corresponds to a person to open an account. Accounts registered by 'bots' or other automated methods are not allowed;
*Provide your full name, email address, and any other information requested in order to complete the registration process;
*Be responsible for maintaining the security of your account and a password. ClassOnLive will not be responsible for any losses or damages resulting from a breach of this obligation. You agree not to disclose your password to any third party and to be solely responsible for any activity under your ClassOnLive account, even if you did not authorize such activities. You will immediately notify ClassOnLive of any unauthorized use of your account.
*Agree to use the service only for lawful purposes and agree not to use it in any way that infringes on the use or rights of other users.
*The User may not choose as a username or password words and/or expressions that, in general, are contrary to the law or to good practices, customs, and generally accepted usages, and, in general, words and/or expressions that are subject to any rights that exclude their use by the User.

The User may deactivate their registration at any time by sending a message through the Contact form. The user acknowledges and agrees that ClassOnLive reserves the right to deactivate those registrations or inactive users for a period exceeding 6 months.

ClassOnLive reserves the right to suspend or delete your ClassOnLive account and your access to the site at any time, with or without cause or notice, if the information provided during the registration process or thereafter is found to be inaccurate, outdated, or incomplete. You may never use another user's account without permission. Any use or access by any person under 18 years of age (or under 21 in jurisdictions where 21 is the age of majority) is prohibited. ClassOnLive has the right, but not the obligation, to monitor all conduct and content submitted to the Service. While we work to protect the security of your content and account, ClassOnLive cannot guarantee that unauthorized third parties will not hack our security measures.

Use of the Service

You may use our service by agreeing to comply with these Terms and all applicable local, national, and international laws. To access some features of the Service, you will need to create an account on ClassOnLive or register with a third-party service.

Minimum technical requirements
To achieve a positive user experience, the following components are required to access all ClassOnLive websites and services:

Operating system: PC: Windows 7 or later; Mac OS X 10.6 or later
For the Video Conferencing System: Browser: the latest versions of Chrome, Firefox, and Safari. Not available on any other.
Access via Android mobile/tablets and some restrictions with iOS (iPads).

High-speed internet: a constant connection (preferably a direct wired connection to the modem) and high speed (minimum 3 Mbps upload) is required. Mobile connections, public hotspots, slow or inconsistent public Wi-Fi networks may create latency when using video conferencing (including recording, chat, etc.). Video conferencing rooms will be disabled if they detect inactivity for 30 consecutive minutes.

It is your responsibility to provide all necessary equipment to access the Internet and enable communications, such as headsets with microphones, microphones, and webcams. If you connect to the Internet through a corporate network or other private network, ClassOnLive may not function optimally.

Third-Party Links
The Service may contain links to third-party websites, advertisers, events, activities, offers, or other entities that are not owned or controlled by ClassOnLive. ClassOnLive has no control and assumes no responsibility for the content, privacy policies, or practices of third-party websites. Additionally, ClassOnLive cannot censor or edit the content of any third-party site. By using the Service, you expressly release ClassOnLive from any liability arising from your use of any third-party website and you acknowledge that ClassOnLive is not responsible for the availability and content of such sites.

Ownership of content

Ownership of the Platform
All rights, titles, and interests in the Platform, including our information, software, technology, data, applications, logos, trademarks, designs, texts, graphics, images, audio and video files, other data or materials with copyright, or content, as well as their selection and organization, are referred to in this document as 'ClassOnLive Content', are and will remain the exclusive property of ClassOnLive. ClassOnLive Content is protected by intellectual property rights both in Spain and internationally.

Use of the Platform and intellectual property rights
The use of the Platform under these Terms does not grant you additional rights over the Platform nor ownership of any intellectual property rights associated with the Platform, including, but not limited to, rights to use trademarks, logos, domain names, and other distinctive brand features of ClassOnLive. Subject to your compliance with and the limitations set forth in these Terms, ClassOnLive grants you a limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to access and use the Platform and/or ClassOnLive Services to fulfill your personal and commercial purposes.

Usage Restrictions
You agree not to engage in any of the following actions while accessing or using the Platform and/or ClassOnLive Services:
- License, sublicense, sell, rent, lease, or otherwise allow third parties to use the Platform without the express written consent of ClassOnLive (this license is for your personal use only and may not be assigned to anyone else without our permission).
- Bypass or disable any feature or security measure or other technological features of the Platform.
- Copy, modify, create derivative works from, decompile, hack, reverse engineer, disassemble, or otherwise attempt to discover any source code or elements of the Platform, or use the Platform to compete with ClassOnLive. - Engage in any activity that may interfere with, damage, or harm the Platform and/or ClassOnLive Services.

All rights not expressly granted by ClassOnLive are reserved.

Its contents (the contents of the Client)
Any data, information, content, or material originated by you that you upload or transmit in any other way through the Platform is and will remain yours. ClassOnLive does not claim any intellectual property rights over the User Content by virtue of your use of the Platform and/or ClassOnLive Services. By uploading User Content to the ClassOnLive Platform, you agree that:
-ClassOnLive may review User Content for any reason, including compliance with our Code of Conduct and prohibited content requirements, but ClassOnLive is not obligated to review anything you upload.
-You are uploading User Content to the ClassOnLive Platform under your direction, and ClassOnLive does not certify or provide approval or permission in any way before you upload User Content.
-ClassOnLive may display User Content to other users (for example, to your students) through the ClassOnLive Platform in order to provide ClassOnLive Services.
-You agree that by uploading User Content to Our Platform, you allow us to store Your User Content.
-You agree to provide ClassOnLive with all necessary licenses, including a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use (for example, to display or transmit) User Content to promote ClassOnLive Services.
-You are responsible for and own, or have the rights to use, all your User Content.

Feedback
You may choose or we may invite you to submit suggestions, recommendations, requests for improvement, or other comments about ClassOnLive Services or the Platform. By submitting any such feedback, you agree that such feedback is free, unsolicited, and unrestricted, and grants us a royalty-free, worldwide, transferable, sublicensable, irrevocable, and perpetual license to use or incorporate any feedback into ClassOnLive services and/or the platform.

Payment for Service Use

ClassOnLive has a subscription/membership model through which customers who wish to create content must pay. Pricing information is described on our Pricing page (https://www.classonlive.com/sign-up).

The client agrees that all subscriptions are recurring and will automatically renew. The client will also be solely responsible for paying and remitting to the relevant tax authorities all applicable taxes. In the event that the client fails to meet their tax obligations and/or duties, the client agrees to defend, indemnify, and hold ClassOnLive harmless from any claims and/or liabilities (including penalties) as a result of the client's failure to comply with such taxes and/or obligations.

The client will set the price of their content, including the option to create free content. ClassOnLive will charge for the use of the services it offers, which will be limited according to the plan chosen by the client. All payment plans are set to be charged automatically at the beginning of each billing period unless canceled directly from their control panel in the 'My Plan' section. The client account remains active until the next billing cycle, which will no longer renew, and on that day the account will be automatically canceled, and access to all information and content will cease. When a user provides credit or debit card or PayPal information to pay the fees, they represent and warrant that they are authorized to provide such information and authorize ClassOnLive to charge that payment method periodically to pay the fees as they become due. Each User is responsible for paying all applicable taxes and fees related to the use of the Services. A Client will not be allowed access to any part of the Sites, the Services, or their content unless and until ClassOnLive receives the corresponding payment from that Client.

There are 4 plans for the use of the service that can be charged monthly or annually. The plans are: (1) Initiation Plan €144/year + VAT (21%) or €15/month + VAT (21%) which, in case the content is sold, ClassOnLive will charge a percentage of the sale price. This commission will consist of a percentage of 15% of the content price for each registered student + VAT (21%), before taxes, fees, and other applicable discounts. (2) Professional Plan €480/year + VAT (21%) or €49/month + VAT (21%) which, in case the content is sold, ClassOnLive will charge a percentage of the sale price. This commission will consist of a percentage of 10% of the content price for each registered student + VAT (21%), before taxes, fees, and other applicable discounts. (3) Advanced Plan €1188/year + VAT (21%) or €149/month + VAT (21%). (4) Premium Plan €3996/year + VAT (21%) or €399/month + VAT (21%).
In the Advanced plan and the premium plan, if the client integrates their payment methods, ClassOnLive will not charge a percentage of the sale price if the client takes responsibility for receiving payments directly into the account they assign (PayPal, bank account, etc.), assuming all commission costs incurred by their payment methods. Otherwise, the commission will be 10% + VAT (21%). The only way to acquire a payment plan is through PayPal or credit card in USD or Euros.

In the event that the client is within the Initiation Plan (1) or Professional Plan (2) or has enabled the ClassOnLive payment platform in the Advanced Plan (3) or Premium Plan (4), when a student makes a payment for any of their training, ClassOnLive will receive from the student the full price of the content and subsequently deliver to the client the resulting amount, once the applicable commissions (ClassOnLive commission which already includes those of PayPal or Stripe) and the taxes that apply are deducted. For its part, the payment from ClassOnLive to clients will be made solely through the PayPal account that they have detailed in their profile within ClassOnLive, in the currency they have chosen to sell their content. Payment will be made on the first business day of the following month that their content has been purchased (in the case of asynchronous content such as videos, reading format, etc.) or the first business day of the following month that their content has started (in the case of synchronous content such as any training conducted by videoconference).

Thus, ClassOnLive acts merely as an intermediary in this receipt of payment, not being responsible for the relationship between the client and the student. The client will be responsible for the quality of the content as well as for billing the student. The client must comply with their tax obligations or other duties arising from the sale of their content. However, ClassOnLive is not responsible for monitoring compliance with such obligations. We reserve the right to modify at any time the commission for services (or to start charging for free services) provided that such changes are not retroactive to charges paid before the time of the change.

In the case of students, they pay the price of any content reservation that is confirmed and authorize the charge of the corresponding amount to their PayPal account, make a bank transfer, or have that amount charged to their credit card. Once it is confirmed that the reservation has been completed, they will receive a confirmation email. Please note that these payment methods may require the student to be subject to their terms and conditions, which are different from those of ClassOnLive.

Cancellation Policy
The client acknowledges that all subscription fees are automatically charged on a recurring basis until the client cancels their subscription to ClassOnLive. To request the cancellation of the subscription and the ClassOnLive account, it must be done directly from their control panel, with the administrator account, in the 'My Plan' section. Upon canceling the payment plan, the cancellation will take effect at the end of the billing cycle at that time. Once the account is canceled, the content will be deleted, and the client will not be able to access it again, nor claim it, so the client is solely responsible for removing such content in advance and notifying their students that they will not have access to such content through ClassOnLive, and ClassOnLive is not and will not be responsible for the loss of such content.

Please note that you are solely responsible for correctly canceling your account. A request by phone, email, or any other means different from that specified in the previous paragraph to cancel your account is not considered cancellation. However, you may contact customer support if you have difficulties or need help at [email protected].

IMPORTANT: Once the account is canceled, the content will be deleted, and neither the client, nor their instructors, nor supervisors, nor their students will be able to access it. We recommend downloading your content and notifying your students. Data and content are kept for 30 days after the account cancellation, in case you want to recover it. Once this time has passed, they are permanently deleted without the possibility of recovery.
IMPORTANT: The client must be on a payment plan to receive their earnings; if the subscription is canceled before receiving the income, payment will not be made. To treat all clients equally, NO EXCEPTIONS WILL BE MADE.

Account Recovery Policy
Once the client has canceled their account, they can recover it with the following link: Recovering Account.

IMPORTANT: To recover the content and information, it must be done within the next 30 days from the cancellation of the plan, as ClassOnLive keeps the content and information in your account only for 30 days after the cancellation date (whether voluntary or due to non-payment). Beyond the 30 days of the cancellation or termination of the plan, all associated emails (administrator, students, supervisors, and instructors), as well as all training and content associated will be permanently deleted.
IIMPORTANT: Once the 30 days have passed, even if you do it through the previous link, the content/information you had will have been permanently deleted (so your account will appear empty).

Return Policy
All ClassOnLive subscription plans include a 15-day free trial. After 15 days, if you choose the monthly plan/subscription, it will be charged in advance monthly and is non-refundable. There are no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for unused months with an open account. All subscriptions are recurring and will automatically renew after the end of each subscription period. Clients who have made an annual plan are entitled to a full refund within 30 days of the first registration/payment of an annual plan or within 30 days of the renewal of an annual plan. In the event that a refund is granted, the charge for one month in the corresponding plan (at the monthly plan price) will be deducted. After 30 days, no refunds will be granted. In the event that course sales have been made and the client decides to cancel the plan, payment of the income to the PayPal account will not be made if the plan is canceled.
In any case, if applicable, the payment of the applicable commission to ClassOnLive will be deducted. If the client cancels automatic payments directly from PayPal or card, the account in ClassOnLive is automatically canceled at that same moment, so there are no refunds for unused days, and the only way to reactivate the account is by purchasing the plan again.

Abuse of the Refund Policy
ClassOnLive reserves the right to refuse refunds that abuse this Refund Policy. Examples of abuse include, among others, requesting refunds for multiple user accounts or requesting consecutive refunds.

Change to a higher or lower plan
Customers can change their plan at any time directly from their control panel. In the case of upgrading to a higher plan (more expensive), the payment of the new monthly/annual fee must be made. In the case of downgrading to a lower plan, both monthly and annual, there is no refund for the unused days of the previous plan. In the case of a plan change, a new billing cycle begins.

Cancellations between customers and students
ClassOnLive acts merely as an intermediary between customers and their students and, therefore, is not responsible for any claims that may arise regarding cancellations or refunds made, errors in them, or the customer's decision not to show up to deliver the content. ClassOnLive will only verify that the content has been sold.

In the event that the customer is on the Initiation plan (1) in the Professional plan (2) or using ClassOnLive's payment methods in the Advanced (3) or Premium (4) plan and a customer or student requests a refund of the price paid, if ClassOnLive has not yet paid the instructor their earnings from the training, ClassOnLive can refund the student and it will be deducted from the income, but the commission fees + VAT incurred by PayPal or Stripe will be charged. It is the customer's responsibility to revoke access to the content, cancel their account, or make any other refund associated with that student's content. If a student's refund is requested after the customer has received that income, the amount will be deducted in the following months.

In the event that a customer has integrated their payment methods, they are solely responsible for making the full refund to the students, and the customer agrees to defend, indemnify, and hold ClassOnLive harmless from any claims and/or liabilities (including penalties) for refunds not granted, the customer not showing up to deliver the class or training, incomplete content, or any other reason that leads to a refund of the training amount.

Restrictions on the use of the Service

A. Distribution Restriction.
You agree that you will not record with your own devices and distribute the content without prior written authorization from the content author. ClassOnLive provides the means for recording and distributing information about the content through the functionality offered by the service (such as social media sharing buttons) for the dissemination and promotion of the content information, but not the content itself. However, the customer will have the option to record the content (through the functionality offered by the service) and distribute the video at their discretion, as long as they are the author of that content. The user who has participated in that content authorizes and accepts in these Terms their recording, dissemination, and appearance in these videos waiving any financial compensation.

B. Modification Restrictions.
You agree not to alter, modify, or block any portion or functionality of the Service or the ClassOnLive website.

C. Communication Systems Usage Restriction.
You agree not to use the communication systems provided by the Service (e.g., comments, video chat, email) for any purpose outside of the established one.

D. Prohibitions
It is prohibited: To purchase content for the purpose of copying any material or techniques to use in content that you or a third party will deliver, and not solely for educational purposes; To contact a customer or student for any purpose other than training or any unrelated topic to the content; Acting as a user, contacting and recruiting other users to join third-party services that are competitors of ClassOnLive.

E. Restriction of Robots and Automated Attacks
You agree not to use or launch any automated system, including, without limitation, "robots," "spiders," or "offline readers," that send more request messages to the servers than a person can reasonably produce in a given period of time. However, ClassOnLive grants public search engine operators permission to use spiders to copy materials from the site for the sole purpose of creating publicly available search indexes. ClassOnLive reserves the right to revoke these exceptions generally or in specific cases.

F. Other Prohibitions
Any content or behavior that falls into one or more of the following categories is not allowed on ClassOnLive or any other website or mobile application owned or offered by ClassOnLive:
- Hate speech (attacks or degradations against a group based on race, ethnicity, religion, disability, gender, gender identity/expression, age, veteran status, or sexual orientation).
- Abusive behavior, harassment, threats, intimidation, invasion of privacy, disclosure of other people's information, and/or inciting others to commit violent acts or violate the terms of use.
- Any illegal activity.
- Pornography or explicit sexual content, even if the content is self-referential.
- Copyrighted content, unless you have the necessary permissions. - Preventing, interrupting, or disturbing other ClassOnLive user accounts.
- Misleading and malicious descriptions, titles, and/or tags to increase views.
- Sending or placing large amounts of non-direct, unwanted, or repetitive content, including comments and/or private messages.
- Evading an account ban with repeated attempts to re-enter ClassOnLive.
- Graphic violence including, but not limited to, lifeless bodies and/or physically injured individuals being attacked or humiliated.
- Drug abuse.
- Drinking or smoking by minors. - Gambling.
- Child exploitation.
- Animal abuse.
- The making of bombs or any other type of weapons.

Use of Content

1- In the event that you add images, videos, documents, recordings, interactive content, or other types of files to ClassOnLive, you will be solely responsible for ensuring that they are not protected by copyright. In this regard, we recommend that you visit websites that offer reusable images for free. You are solely responsible for your Content and the consequences of publishing it.

2- You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions for the reproduction, distribution, transformation, and public communication of the content you upload to ClassOnLive.

3- You agree not to insert illegal content into ClassOnLive and to comply with all applicable regulations regarding the display of content.

4- ClassOnLive reserves the right to remove from the Website any content it deems inappropriate to the characteristics and purposes of the same.

5- The User will refrain from inserting Content that deteriorates the quality of the service, and in particular, Content that: is illegal under national, community, or international regulations; violates the fundamental rights of individuals; especially those not appropriate for minors or malicious code.

6- ClassOnLive does not guarantee confidentiality regarding the data that users voluntarily enter on ClassOnLive.com, regardless of whether they are published or not.

You grant ClassOnLive a non-exclusive, royalty-free, worldwide, perpetual license, with the right to sublicense, reproduce, distribute, transmit, create derivative works, display, and publicly perform any content, any other material and/or information (including ideas for improved or new products or services) communicated to ClassOnLive by any means and in any form, now known or developed later. However, we will need your prior consent to use your name. You agree not to bring a claim against ClassOnLive for any alleged or actual infringement of any property right caused by another user on ClassOnLive.com. However, if you are the owner of intellectual and/or industrial property rights and believe that any user content or other content infringes them, you may communicate this to ClassOnLive, without prejudice to the legal actions and rights that may correspond to you against the alleged infringer. Please note that ClassOnLive will not be responsible for verifying the ownership of the content uploaded by users to the website. ClassOnLive reserves the right not to remove any specific user content until a competent authority has declared its illegality, ordered its removal, the impossibility of accessing it, or the existence of the injury, and ClassOnLive was aware of the corresponding resolution.

In addition to the above general restrictions, the following restrictions and conditions specifically apply to your use of the Content:
A. Content created by clients and their brands and logos are their property, subject to copyright and other intellectual property rights under the law.
B. The content is provided AS IS. You may access content for your information and personal use exclusively as intended through the functionality provided by the Service and as set forth in these Terms.
C. You must not download any content unless you see a "download" button or similar link that ClassOnLive displays in the service for that content.
D. You may not copy, reproduce, distribute, transmit, broadcast, re-transmit, display, sell, license, or otherwise exploit any content without the prior written consent of the respective content licensors, who reserve the right not to grant it.
E. You agree not to disable or interfere with the security-related features of the service or features that prevent or restrict the use or copying of any content.

The Content
A. Originality.
You guarantee ClassOnLive the originality of your content and that it is not a copy or adaptation of another with similar characteristics. In this regard, you will be responsible for any claims and actions, judicial or extrajudicial, that may be brought against ClassOnLive for this reason, committing to satisfy ClassOnLive all amounts to which it may be condemned.

B. Property Rights.
As a holder of a ClassOnLive account, you may create or insert content into the service, including creating and delivering live and real-time content, pre-recorded videos, audio, images, photos, slides, documents, etc. You retain all property rights and are solely responsible for the content you create, issue, and send to ClassOnLive. You understand that ClassOnLive does not guarantee any confidentiality regarding any Content you create, issue, or send.

C. Content Responsibility. We reserve the right to refuse to provide the service to anyone for any reason and/or to interrupt the service in whole or in part at any time, with or without notice. Use of the service is subject to all applicable regulations, and you will be solely responsible for the content of your communications through the service. You agree that you will not download, share, send, or distribute in any other way content or applications that may violate applicable law or infringe any rights of any party. You will be solely responsible for your own content and the consequences of the submission and publication of your content on the Service. You affirm, declare, and guarantee that you own or have the licenses, rights, consents, and permissions to publish content created, issued, and sent; and authorize ClassOnLive to use all patents, trademarks, logos for its publication on the Service or any other use by ClassOnLive in accordance with these Terms.

D. Deactivation or removal of content. You may delete or deactivate any Content you upload to the Service. ClassOnLive reserves the right to remove any content from the service without prior notice and for any reason or no reason. ClassOnLive may retain copies of the Content on the server even if such Content has been deactivated, deleted, or removed from the service.

E. Responsibility for your content to third parties.
ClassOnLive respects the rights of third-party creators and content owners and expects you to do the same. Therefore, you agree not to publish any content that violates any law or infringes the rights of third parties.

F. No responsibility regarding content.
ClassOnLive may, at its discretion, promote or prioritize certain content and make it more or less visible within the service. Conversely, ClassOnLive does not endorse any Content submitted to the Service by any user, nor any opinion or recommendation. ClassOnLive expressly disclaims any and all responsibility regarding the content.

G. Ratings. We value the opinions of all our users, and we are always interested in learning how to improve the service. If you choose to submit comments, ideas, or feedback, you agree that we are free to use them without any restrictions or compensation to you.

Taxes

The laws governing the collection, reporting, and remittance of sales and use taxes, value-added taxes, and other similar state, local, and foreign taxes are complex. As a customer selling your Content directly to the user and student, you, as a ClassOnLive customer and content seller, will be and are solely and fully responsible for collecting, reporting, and remitting the correct amount of taxes (if applicable) to the tax authorities for the charges to the Students for the purchase of your Content. ClassOnLive recommends that all customers consult a tax advisor to help them determine the tax requirements related to the sale of their Content.

Depending on the laws of the relevant jurisdictions, the Content of customers, users, and creators sold to students through the ClassOnLive platform for course purchases and other services and transmitted to locations inside and outside of Spain may be subject to taxes.

ClassOnLive is not responsible for setting the prices that the customer sells through ClassOnLive; each customer sets them directly.

Taxes on ClassOnLive subscription plans
When applicable, ClassOnLive will charge the Customer sales tax in relation to ClassOnLive subscription fees (Spain and Peninsula). Customers who believe they should not be charged taxes in relation to ClassOnLive subscription fees (Ceuta, Melilla, Canary Islands, and other countries) must provide ClassOnLive with a valid tax identification number, a valid tax address, or other documentary proof issued by a competent tax authority confirming that ClassOnLive should not charge taxes to the Customer according to applicable tax laws.

Taxes on the sale of Content
ClassOnLive may be considered a "market facilitator" for third-party sales made through the payment gateways that ClassOnLive provides in the Initiation and Professional subscription plans (stripe and/or paypal) and in the case that the customer does not integrate their payment methods, in the Advanced and Premium plans. A "market facilitator" is generally defined as the entity that owns or operates the market (platform) and processes transactions (including physical goods, digital goods, and services) directly or indirectly on behalf of external sellers (the customer). For this service, ClassOnLive charges a 15% commission in the Initiation plan and a 10% commission in the professional plan and 10% in the Advanced and Premium plans (provided that the customer does not integrate their own payment method) and in which case the corresponding tax applies to each sale made.

Please note that when a Customer sells content, integrating their own payment methods (available only in the advanced and premium plans) or using those already provided by the platform (initiation and professional plans), the customer is solely responsible for calculating, collecting, reporting, and remitting the sales tax, regardless of where the Student resides, to the relevant authorities.

Customers can download sales reports detailing the purchase amount and the amount of tax collected on each sale through their account dashboard in the "transactions" section and use the billing system that the platform provides, but that each customer configures, depending on their place of residence, type of business, or any aspect of each customer that affects tax collection.

The customer is solely responsible for complying with their tax obligations and responsibilities in their country of residence and taxation and agrees to indemnify ClassOnLive for any tax, penalty, or interest on their transactions regarding content sales made through the platform.

Agreements between customers and students

These service conditions are in addition to any agreement established between the customer and the student. ClassOnLive will not be able to control compliance with these agreements, in particular: their content, accuracy, and legality, or the obligations of the parties. For this reason, you agree to release ClassOnLive and its agents from any liability, within the limits of the law.

By uploading content to ClassOnLive: 1. You acknowledge that the content is made or created directly by you, so ClassOnLive is not responsible for the information contained in your profile and you assume all responsibility for the content offered; 2. You understand that it will be publicly offered for users to register and even purchase; 3. If it is paid content, you commit to selling your content to students according to the price and content indicated on www.classonlive.com and waive denying the sale to any student for discriminatory or illegal reasons; 4. You represent and warrant that you are qualified and have the authorizations and other necessary requirements to deliver the content and that you will always act professionally, complying with the regulations; 5. You commit not to use your students' information for any purpose other than the content, unless you have their prior consent; 6. You accept that students may rate your profile and your content and that ClassOnLive cannot control such ratings and is not responsible for the opinions they may include in such ratings.

ClassOnLive is not responsible for the interactions between Customers and users/Students, except for providing the technological means through which Customers can transmit and make their courses, digital downloads, and other content available and, at each Customer's discretion, to process payments through the payment gateways that ClassOnLive provides. ClassOnLive is not responsible for any dispute, claim, loss, injury, or damage of any kind that may arise from the Customer/User relationship, including, among others, the trust of any User (student) in any information provided by a Customer/s at any time.

Data Processing
Customers are responsible for protecting all personal information they provide or receive from ClassOnLive in connection with the use of ClassOnLive Services. Customers agree to comply with the LOPD and GDPR when and to the extent that Data Protection Laws apply to a Customer's use of ClassOnLive Services to process Student Data. Customers are "owners" of the personal information they collect from Students and about them. Additionally, Customers are also responsible for providing appropriate privacy notices to their Students, respecting their Students' privacy rights in accordance with applicable law, and providing access to Students' personal information or deleting it if requested and as required by applicable law.

Disclaimer of warranties and liability

The Service and the Content are provided "as is", without any warranty of any kind, either express or implied.

We try to keep ClassOnLive running, safe, virus-free, and updated BUT you use it at your own risk. ClassOnLive grants you 15 days of free use of the platform to perform all the necessary technical and non-technical tests, therefore it is not responsible and disclaims warranties in case of technical failure or other issues during the live broadcast via the Video Conferencing System, the results of recordings or absence of them, deterioration of the recording, problems in viewing videos or accessing any content in any format. In cases it deems appropriate, ClassOnLive will investigate the reasons for the failure and reserves the right to issue a refund to the user, in which case, as a customer, you waive any compensation.

You understand that ClassOnLive uses external hosting providers to provide the software, storage, and related technology necessary to run the service and that they may sometimes fail, excluding ClassOnLive from any blame in this regard.

ClassOnLive does not guarantee that the Platform or any Service offered through the Platform is error-free or reliable, nor does it guarantee that defects will be corrected or that any offer through the Platform will always be accessible. ClassOnLive may make improvements and/or changes to the Platform and its features and functionalities at any time, and will make commercially reasonable efforts to avoid interrupting peak hours, although some downtime may occur. Errors in the Content are the responsibility of the Client who owns the Content. We reserve the right to modify the Platform and any service or material that we provide on the Platform, at our sole discretion and without prior notice. We will not be responsible if for any reason all or part of the Platform is not available at any time or during any period. From time to time, we may restrict access to part or all of the Platform to Clients, Students, or Users.

ClassOnLive will not be liable to you or any third party for any modification, price change, suspension, or interruption of the service. ClassOnLive does not guarantee that (i) the service will meet your specific requirements and that (ii) the service will be uninterrupted or error-free. You understand and expressly agree that ClassOnLive will not be liable for any direct or indirect damages, including, but not limited to, damages for loss of profits, data, or other intangible losses (even if ClassOnLive has been advised of the possibility of such damages), as a result of the use or inability to use the service or any other matter related to the service.

ClassOnLive reserves the right at any time and occasionally to modify or discontinue, temporarily or permanently, the service (or any part thereof) with or without prior notice.

ClassOnLive specifically disclaims all warranties and we are not responsible nor do we assume any liability for any Content that you, third parties, or any other user create, publish, and/or transmit using our service. You understand and agree that you may be exposed to Content that is inaccurate, contains errors, is not up to date, is offensive, inappropriate for children, or otherwise unsuitable for your purpose, and you waive any rights or remedies you may have against ClassOnLive in this regard.

ClassOnLive is exempt from any liability that may arise as a result of, by way of example but not limited to, actions or omissions in the premises, the content, its quality and content, or the opinions of the instructors/companies. Through this service you may conduct business transactions with other users. You acknowledge that such transactions are conducted at your own risk. Any warranty that is offered through the site will be offered exclusively by the third party and not by ClassOnLive. You agree that we assume no responsibility for delays, deletions, misdeliveries, or failure to store user communications or personal settings.

ClassOnLive will not be a guarantor of any of the users, nor confirms the veracity of the information provided, so in case of dispute, you must claim exclusively and directly from the user. ClassOnLive assumes no responsibility for the Content inserted by the Users. The User who inserts content that infringes any applicable national or international legislation will be liable for the damages and losses arising from such infringement, exempting ClassOnLive from any liability.

ClassOnLive does not grant any warranty nor is it responsible, in any case, for damages of any nature that may arise from accessing or using the Content or the Website.

ClassOnLive is not responsible for the following circumstances: i) Lack of availability, maintenance, and effective operation of the Website and/or its Services or Content, excluding, to the fullest extent permitted by applicable law, any liability for damages of all kinds that may arise from the lack of availability or continuity of the operation of the Website and the Content enabled on it, ii) Lack of usefulness of the Website or the Content for any activity, iii) The content of other Internet pages to which the links or hyperlinks placed on the Website may lead. iv) Existence of viruses, malicious or harmful programs in the Content. v) Receipt, obtaining, storage, dissemination, or transmission, by Users, of the Content. vi) Illegal, negligent, fraudulent use, contrary to the terms of these Terms of Use, or to good faith, of the Website or its Content, by Users.

ClassOnLive excludes any liability for damages of all kinds, including lost profits, that may arise from the services provided by third parties through the Website as well as the means that they enable to manage service requests, and specifically, by way of example and not limited to: for acts of unfair competition and illegal advertising, as well as for the lack of truthfulness, accuracy, completeness, defects, relevance, and/or timeliness of the content disseminated, stored, received, made available, or accessible through the services provided by third parties through the Website. The User will be liable for damages of all kinds that ClassOnLive may suffer as a result of the breach of any of the obligations to which it is subject under these Terms of Use or the Law in relation to the Use of the Website. ClassOnLive will not be responsible for the opinions expressed by Users through the Website or other participation or opinion tools nor for the damages and losses that may arise from such opinions. To the fullest extent permitted by law, ClassOnLive is not liable for any incidental, special, consequential, or punitive indirect damages or any loss of profits or revenues, whether direct or indirect, or any loss of data or other intangible losses, as a result of (a) your access, use or inability to access or use the service; (b) any conduct or content of any third party in the service, including without limitation, any defamatory, offensive, illegal conduct or the content of users or third parties; or (c) unauthorized access, use or alteration of your transmissions or content. Additionally, you agree not to assert any "moral rights" or similar rights regarding the use of your content.

The service is hosted and offered by ClassOnLive from its facilities in Spain. Users accessing or using the Service from other jurisdictions do so at their own will and are responsible for complying with local laws. To the extent permitted by applicable law, you agree, in the event of violating the terms of use or any other document, to hold ClassOnLive, its affiliates, officers, directors, employees, and agents harmless from any claims, damages, obligations, losses, liabilities, costs, debts, or expenses (including attorney's fees and costs) arising from: (i) all matters related to your use and access to the Service; (ii) your violation of any term of these Conditions; (iii) your violation of any third-party rights, including without limitation, any copyright, property, or privacy rights; or (iv) any claim that your content caused damage to a third party. This defense and indemnification clause will survive these Terms and your use of the Service.

ClassOnLive is not responsible for any loss or damage caused by viruses, distributed denial of service attacks, and any other malicious computer code. Malicious computer code means computer code or other mechanisms of any kind designed to disrupt, disable, or damage in any way the operation of any software or hardware or other business processes or to misuse, gain unauthorized access to, or improperly appropriate any commercial or personal information, including bugs, worms, bombs, backdoors, clocks, timers, or other disabling device codes, or designs or routines that cause software or information to be deleted, become inoperable, or otherwise unusable, whether automatically or over time or by design. ClassOnLive does not guarantee that files available for download from the Platform are completely free of viruses or other harmful computer codes.

You agree that any cause of action or claim you may have against ClassOnLive must be brought against us within one (1) year after the cause of action or claim arises. If you do not initiate such cause of action or claim within this time period, it will be barred.

We may modify any of these terms and conditions, at any time at our sole discretion. If any modification is unacceptable to you, your only remedy is to terminate this Agreement. Your continued use of the services after the modifications have been made will indicate that you accept all the changes.

Assignment
These Terms and any rights and licenses granted herein may not be transferred or assigned by you, but may be assigned by ClassOnLive without restrictions.
